Terms Of Use

The Terms of Use form an agreement between Project Recapture Inc. d.b.a. PayShepherd (“PayShepherd”, “us”, “we”, “our”) and you. These Terms of Use govern your access to and use of (a) the PayShepherd cloud-based contractor management platform designed to streamline and optimize the relationship between industrial facilities and contractors; offering a range of features designed to improve efficiency, reduce costs, and enhance transparency in contractor operations, notably through timesheet and invoice automation; and (b) any text, data, text, information, reports, documents, and other materials or content contained on or provided through the PayShepherd platform for contractors (collectively, the “PayShepherd Platform”). The term “you” or “User” refers to the person or entity browsing, installing,
accessing or otherwise using the PayShepherd Platform (“use” or “using” in these Terms of Use will mean any of the foregoing).

You understand that you are being permitted to use the PayShepherd Platform because you are an existing or prospective contractor of a construction project owner(s), general contractor(s) or other contractor(s) (in each case, the “Client”) for which you or your employees provide or will provide work and services in connection with the Client’s industrial or commercial operations and such Client has entered into an agreement with PayShepherd (the “SaaS Agreement”) to access and use the PayShepherd Platform and to make the PayShepherd Platform available to you.

To the extent they do not contradict these Terms of Use, your use of the PayShepherd Platform is also subject to any applicable supplemental terms and conditions entered into with Client (“Client Terms”) and these Terms of Use do not alter in any way the terms or conditions of any agreements you may have
with the Client with respect to your work and services to Client, including the Client Terms.

1. CHANGE TO THESE TERMS OF USE; FEES

Except where prohibited by applicable laws, we reserve the right, in our sole discretion, to change any element of these Terms of Use at any time. When we change these Terms of Use, we will: (i) place a notice on the PayShepherd Platform and may send you an email or notify you by some other means as required by applicable law; (ii) post a new version to the PayShepherd Platform; and (iii) update the “Last Updated” date at the top of these Terms of Use. We may require you to provide consent to the updated Terms of Use in a specified manner before further use of the PayShepherd Platform is permitted. If you do not agree to any change(s) after receiving a notice of such change(s), you will stop using the PayShepherd Platform. Otherwise, your continued access to or use of the PayShepherd Platform after any changes to these Terms of Use indicates your acceptance of such changes.

Client will be responsible for paying to PayShepherd all applicable fees. You acknowledge and agree that this fee arrangement is made in consideration of the mutual covenants set forth in these Terms of Use and the SaaS Agreement.

Please do not contact PayShepherd if you have any questions about or in connection with the work and services provided to the Client, including any questions regarding invoicing or payment of any fees in relation to the provision with such work and services; and please direct all such questions to your usual contact at the Client.

3. ACCESS TO THE PAYSHEPHERD PLATFORM

Access and Permitted Use. Subject to your acceptance of these Terms of Use, PayShepherd grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right and license (where applicable) to access and use the PayShepherd Platform for your internal business purposes and for the purpose of managing the relationship with your Client(s) and associated invoicing and payments subject to all conditions and limitations set forth herein.

Conditions of Access and Use. To access and use the PayShepherd Platform, you must register for a user account (the “Account”). To do so, you must be aged 18 years or older, you must have a valid mailing address in the U.S. or in Canada, and you shall provide PayShepherd with all information required for the creation of the Account, including any information that may be required by or its third-party service providers to conduct identity verification procedures. It is a condition of your access and use of the PayShepherd Platform that all information you provide is correct, current and complete information about you and promptly update all information in your Account to ensure that your Account is correct, current and complete at all times.

Account Confidentiality. You understand and agree that your Account is personal to you, and you agree not to provide any other person with access to the PayShepherd Platform or portions of it using your username, password or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You are responsible for any password misuse or any unauthorized access. We reserve the right at any time and from time to time, to disable or terminate your Account, any username, password or other identifier, whether chosen by you or provided by us, in our discretion, including for any violation of any provision of these Terms of Use.

Suspension of Access; Scheduled Downtime; Modifications. PayShepherd may from time to time and in its discretion, without limiting any of its other rights or remedies at law or in equity, under these Terms of Use:

suspend your access to or use of the PayShepherd Platform or any component of it:

for scheduled maintenance;

due to a force majeure event;

if PayShepherd believes in good faith that you have violated any provision of these Terms of Use;

to address any emergency security concerns;

if required to do so by a governmental or regulatory authority or as a result of a change in applicable laws; or

for any other reason as provided in these Terms of Use; and

make any modifications, improvements, customizations, patches, bug fixes, updates, enhancements, aggregations, compilations, derivative works, translations and adaptations (“Modifications”or“Modify”) to the PayShepherd Platform.

You are required to accept all patches, bug fixes and updates made by or on behalf of
PayShepherd or the PayShepherd Platform as applicable

Subcontracting. PayShepherd may engage third parties to assist it in providing PayShepherd
Platform or any part thereof.

4. PROHIBITED USES

You agree your access and use of the PayShepherd Platform will not:

involve you directly or indirectly: (i) attempting to breach, violate or circumvent or breaching, violating or circumventing any security or authentication measures; (ii) restricting, disrupting or disabling services to users, hosts, servers or networks; (iii) illicitly reproducing TCP/IP packet header; (iv) disrupting network services and otherwise disrupting our ability to monitor the PayShepherd Platform (v) using any robot, spider, scraper or other automated or manual process or means to access the PayShepherd Platform for any purpose, including monitoring or copying any of the material on the PayShepherd Platform or for developing and training models; (vi) violating the restrictions in any robot exclusion headers on the PayShepherd Platform or bypassing or circumventing other measures employed to prevent or limit access to the PayShepherd Platform; (vii) introducing any viruses, trojan horses, worms, logic bombs or other material that is malicious or technologically harmful; (viii) attacking the PayShepherd Platform via a denial-of-service attack, distributed denial-of-service attack, flooding, mailbombing or crashing; (ix) taking any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on the PayShepherd Platform; and (x) otherwise attempting to interfere with the proper working of the PayShepherd Platform;

in any manner violate or promote the violation of any applicable federal, provincial, local or international law or regulation, including any laws regarding the export of data or software, patent, trademark, trade secret, copyright or other intellectual property, legal rights (including the rights of publicity and privacy of others) or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use or the Privacy Policy (as defined below);

involve transmitting any User Data (as defined below), data or any other material that is false, inaccurate, misleading, exploitive, obscene, harmful, threatening, abusive, harassing, hateful, defamatory, sexually explicit or pornographic, violent, inflammatory, or discriminatory based on race, sex, religion, nationality, disability, sexual orientation, or age or other such legally prohibited ground or be otherwise objectionable, such determination to be made in our discretion to the extent permitted by law;

involve harvesting or otherwise collecting or storing any information (including personal information) about other users of the PayShepherd Platform including e-mail addresses, without the express consent of such users;

create adaptations, translations or derivative works based on the PayShepherd Platform, in whole or in part, decompile, disassemble, reverse engineer; reconstruct or otherwise copy, reproduce or inquire about the structure and components of the PayShepherd Platform;

Modify any portion of the PayShepherd Platform;

provide, disclose in detail or otherwise make the PayShepherd Platform available to third parties by any means without the prior written consent of PayShepherd; and

use the PayShepherd Platform (except for the use of publicly accessible features) in the presence of third parties who are competitors of PayShepherd.

You will comply with all export laws and regulations under applicable laws that may apply to its access to or use of the PayShepherd Platform. PayShepherd makes no representation or warranty that the PayShepherd Platform may be exported outside Canada without you first obtaining appropriate licenses or permits under applicable laws, or that any such license or permit has been, will be, or can be obtained.

5. OWNERSHIP; RESERVATION OF RIGHTS

Ownership in Your Data. You retain all ownership and intellectual property rights in and to any information, data (excluding Aggregated Data and PayShepherd Metadata), content, records and files that you upload, send, transmit to, or enter into the PayShepherd Platform through your Account, including your personal information (collectively, the“User Data”). To the extent that you have not granted such necessary rights to the Client or Client has not granted us such rights in the SaaS Agreement, you hereby grant to PayShepherd a nonexclusive, worldwide, royalty free, irrevocable, perpetual, sublicensable, transferable, and fully paid up right and license to access, collect, use, process, store, disclose and transmit your User Data to: (i) provide the PayShepherd Platform; (ii) improve and enhance the PayShepherd Platform and PayShepherd’s other offerings; (iii) produce or generate PayShepherd Metadata; and (iv) produce or generate data, materials or information, including related to how you interact with the PayShepherd Platform including frequency and duration of usage, specific features or functions accessed, your user preferences and patterns of behavior and that: (A) is anonymized; (B) cannot be re-identified by PayShepherd; and (C) does not contain any of your personal information, or identify any customers of you or your Client(s) (such data, information and materials, the“Aggregated Data”). PayShepherd may use, store, disclose, transfer, transmit, copy, modify, display and otherwise process the Aggregated Data and PayShepherd Metadata any purpose and without restriction or obligation to you of any kind.“PayShepherd Metadata”means any metadata that is generated by or resulting from the processing of your User Data and that results from the ordinary course of the operation of the PayShepherd Platform.

PayShepherd Ownership.The PayShepherd Platform, the Aggregated Data and PayShepherd Metadata, including any modifications and derivative works to the foregoing, are owned by us or our licensors and are protected in all forms by intellectual property laws, including copyright, trademark, patent, trade secret and any other proprietary rights. The PayShepherd name, and all related names, logos, product and service names, designs, images and slogans are our marks or our affiliates' or licensors' marks. You must not use such marks without our prior written permission. Other names, logos, product and service names, designs, images and slogans mentioned, or which appear on the PayShepherd Platform, are the marks of their respective owners. Use of any such property, except as expressly authorized, will constitute an infringement or violation of the rights of the property owner and may be a violation of federal or other laws and could subject the infringer to legal action. All rights not expressly granted by PayShepherd to you under these Terms of Use are reserved.

Feedback.To the extent that you submit ideas, suggestions, documents, or proposals regarding the PayShepherd Platform to PayShepherd (“Feedback”), you acknowledge and agree that:

the Feedback does not contain confidential or proprietary information and PayShepherd is not under any obligation of confidentiality with respect to the Feedback; and

PayShepherd will be entitled to use, commercialize or disclose (or to choose not to use, commercialize, or disclose) such Feedback for any purpose, in any way, in any manner, and to anyone worldwide without any compensation or reimbursement of any kind to you for such use.

6. YOUR RESPONSIBILITY; PRIVACY AND ELECTRONIC COMMUNICATIONS

Your Responsibility.As between you and PayShepherd, you are solely responsible for:

the legality, quality, accuracy, and completeness of User Data and for the risks of the transmission of any User Data through the internet. PayShepherd will not be responsible for the corruption, damage, loss or mis-transmission of any of User Data, including any your personal information used or transferred by you while using PayShepherd Platform or for the security of data during Internet transmission; and

independently validating and reviewing the results and outputs of the PayShepherd Platform and verifying that such results and outputs are accurate and complete.

Privacy Policy.You understand that your personal information will be collected, used, disclosed, or otherwise processed in accordance with our privacy policy, found athttps://www.payshepherd.com/privacy-policythe"Privacy Policy").

Electronic communications.By creating an Account to access the PayShepherd Platform, you understand that PayShepherd will send you service-related e-mails relating to your Account and your use of the PayShepherd Platforms, including service updates. Additionally, when you use or view the PayShepherd Platform or send e-mails, texts or other electronic messages to us, you are communicating with us electronically and you consent to receive communications from us electronically. We may communicate with you by e-mail, telephone, push notification or by posting notices on the PayShepherd Platform. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

7. THIRD-PARTY LICENSED TECHNOLOGIES AND WEBSITES

Third Party Products.Your use of the PayShepherd Platform or certain functionalities thereof may contain or require the use of third party technology that is licensed under separate license terms and not under these Terms of Use (“Third Party Licensed Technology”) and other third party products (collectively“Third Party Products”). In such case, you will accept and comply with the license terms applicable to such Third Party Licensed Technology. If you do not agree to abide by the applicable license terms for any such Third Party Licensed Technology, then you should not install, access, or use such Third Party Licensed Technology. Any acquisition by you of Third Party Products, and any exchange of data between you and any such provider of Third Party Products is solely between you and the applicable Third Party Products provider. PayShepherd does not warrant or support Third Party Products, even if they are designated by PayShepherd as “certified” or otherwise recommended. PayShepherd cannot guarantee the continued availability of Third Party Products features and may cease providing them without entitling You to any refund, credit, or other compensation, if for example and without limitation, the provider of a Third Party Products ceases to make the Third Party Products available for interoperation or otherwise in connection with the corresponding service features in a manner acceptable to PayShepherd. PayShepherd is not responsible for any disclosure, modification or deletion of User Data resulting from access to User Data by such Third Party Products or their
providers.

Third Party Websites.The PayShepherd Platform may also provide links or pointers to third- party sites. We make no representations about any other websites that may be accessed from the PayShepherd Platform. If you choose to access any such sites, you do so at your own risk. PayShepherd has control over the contents of any such third-party sites and to the extent permitted by applicable laws, PayShepherd accepts no responsibility for such sites or for any loss or damage that may arise from your use of them. You are subject to any terms and conditions of such third-party sites.

8. DISCLAIMER

PAYSHEPHERD DOES NOT WARRANT THAT THE PAYSHEPHERD PLATFORM WILL BE UNINTERRUPTED OR ERROR FREE OR THAT ALL ERRORS CAN OR WILL BE
CORRECTED, INCLUDING ANY ERRORS RELATED TO THE DIGITALIZATION OF TIMESHEETS OR INVOICES OR ANY OTHER PAYMENT DOCUMENTS; NOR DOES IT
MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE PAYSHEPHERD PLATFORM EXCEPT AS SPECIFICALLY PROVIDED IN THIS AGREEMENT. THE PAYSHEPHERD PLATFORM (OR ANY PART THEREOF), AND ANY OTHER PRODUCTS AND SERVICES PROVIDED BY PAYSHEPHERD TO YOU ARE PROVIDED “AS IS” AND “AS AVAILABLE”. ANY REPRESENTATION OR WARRANTY OF OR CONCERNING ANY THIRD-PARTY LICENSED TECHNOLOGY IS STRICTLY BETWEEN YOU AND THE THIRD PARTY. TO THE EXTENT PERMITTED BY APPLICABLE LAWS, PAYSHEPHERD HEREBY DISCLAIMS ALL EXPRESS, IMPLIED, COLLATERAL OR STATUTORY WARRANTIES, REPRESENTATIONS AND CONDITIONS, WHETHER WRITTEN OR ORAL, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, COMPATIBILITY, TITLE, NON-INFRINGEMENT, SECURITY, RELIABILITY,
COMPLETENESS, QUIET ENJOYMENT, ACCURACY, QUALITY, INTEGRATION OR FITNESS FOR A PARTICULAR PURPOSE OR USE, OR ANY WARRANTIES OR
CONDITIONS ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE GENERALITY OF ANY OF THE FOREGOING, PAYSHEPHERD EXPRESSLY DISCLAIMS ANY REPRESENTATION, CONDITION OR WARRANTY THAT ANY DATA OR INFORMATION PROVIDED TO YOU IN CONNECTION WITH YOUR USE OF THE PAYSHEPHERD PLATFORM (OR ANY PART THEREOF), IS ACCURATE, OR CAN OR SHOULD BE RELIED UPON BY YOU FOR ANY PURPOSE WHATSOEVER. FURTHER AND WITHOUT LIMITING THE FOREGOING, YOU UNDERSTAND THAT THE NATURE OF THE PAYSHEPHERD PLATFORM IS NOT INTENDED, AND CANNOT BE, RELIED UPON WITHOUT INDEPENDENT VERIFICATION. ACCORDINGLY, YOU HEREBY AGREE THAT YOU WILL INDEPENDENTLY VALIDATE THE RESULTS OF THE PAYSHEPHERD PLATFORM BEFORE RELYING ON SUCH RESULTS.

PAYSHEPHERD IS NOT PARTY TO ANY OF THE AGREEMENTS YOU MAY HAVE WITH THE CLIENT, INCLUDING THE CLIENT TERMS. PAYSHEPHERD WILL NOT BE
LIABLE FOR ANY ERRORS OR OMISSIONS IN ANY PAYMENT OBLIGATIONS OR OTHER OBLIGATIONS OWED BY THE CLIENT TO YOU.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAWS, IN NO EVENT WILL WE OR OUR AFFILIATES OR OUR OR THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, LICENSEES AND SERVICE PROVIDERS AND ANY SUCCESSORS AND ASSIGNS OF THE FOREGOING (COLLECTIVELY WITH PAYSHEPHERD, THE“PAYSHEPHERD PARTIES”) BE LIABLE, WHETHER BASED ON WARRANTY, CONTRACT, TORT,
NEGLIGENCE, STRICT LIABILITY OR ANY OTHER LEGAL THEORY, FOR ANY: (I) DIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES; (II) LOST OR LOSS OF (A) SAVINGS, (B) PROFIT, (C) DATA, (D) USE, OR (E) GOODWILL; (III) BUSINESS INTERRUPTION; (IV) COSTS FOR THE PROCUREMENT OF SUBSTITUTE SERVICES; (V) PERSONAL INJURY OR DEATH; (VI) PERSONAL OR PROPERTY DAMAGE; OR (VII) OTHER LIABILITIES, IN EACH CASE, WHETHER OR NOT WE WERE ADVISED OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES, RESULTING FROM OR RELATED TO THE PAYSHEPHERD PLATFORM OR THE INABILITY TO MAKE USE OF THE PAYSHEPHERD PLATFORM, OR THESE TERMS OF USE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY IN CONNECTION WITH OR UNDER THESE TERMS OF USE, OR YOUR USE OF, OR INABILITY TO MAKE USE OF, THE PAYSHEPHERD PLATFORM, EXCEED THE AMOUNT YOU OR THE CLIENT PAID FOR THE PAYSHEPHERD PLATFORM, IF ANY. FOR GREATER CERTAINTY, THE EXISTENCE OF ONE OR MORE CLAIMS UNDER THESE TERMS OF USE WILL NOT INCREASE THIS MAXIMUM LIABILITY AMOUNT.

10. INDEMNITIES

You will defend, indemnify and hold harmless the PayShepherd Parties from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including reasonable legal and accounting fees, arising out of or in connection with:

your use of the PayShepherd Platform or any services offered by PayShepherd (except to the extent prohibited by law);

the User Data, including our processing of the User Data in accordance with these Terms of Use;

your breach of any provision of these Terms of Use or any documents referenced herein;

your violation of any law or the rights of a third party (including intellectual property rights);

your relationship and any agreements between you and the Client(s);

your business operations; and

any viruses, Trojan horses, worms, time bombs, spyware, malware, cancelbots or other similar harmful or deleterious programming routines input by you into the PayShepherd Platform.

PayShepherd reserves the right, at its own cost, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with us in asserting any available defences. you agree that the provisions in this section will survive any termination of your account, the Terms of Use or your access to the PayShepherd Platform.

11. TERM AND TERMINATION

General.These Terms of Use will commence on the day you first use any portion of the PayShepherd Platform and will remain in effect as long as you have access to the PayShepherd Platform as determined by the Client as per the Client Terms or the SaaS Agreement, unless such access is earlier terminated by either party in accordance with the provisions of these Terms of Use or if the SaaS Agreement is terminated. We may terminate these Terms of Use at any time and with immediate effect by giving notice to you, at our discretion, by email (at your current email address on file with us) or through the PayShepherd Platform. You may terminate these Terms of Use at any time and with immediate effect by requesting by email that your Account be deleted, or by deleting your account and ceasing use of the PayShepherd Platform. For greater certainty, if you continue to use any portion of the PayShepherd Platform that is publicly available after these Terms of Use have been terminated, these Terms of Use will continue to apply to the extent of such use.

Survival.The following sections, together with any other provision of these Terms of Use which expressly or by its nature survives termination or expiration, or which contemplates performance or observance subsequent to termination or expiration of these Terms of Use, will survive expiration or termination of these Terms of Use for any reason: Section 4 (Prohibited Uses), Section 5 (Ownership; Reservation of Rights), Section 6 (Your Responsibility; Privacy and Electronic Communications), Section 8 (Disclaimer), Section 9 (Limitation of Liability), Section 10 (Indemnities), this Section 11(d) (Term and Termination), and 12 (General Provisions).

12. GENERAL PROVISIONS

Choice of Law.These Terms of Use will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein without giving effect to any principles of conflicts of law and such laws apply to your access to or use of the PayShepherd Platform, notwithstanding your domicile, residency or physical location. You will only use the PayShepherd Platform in jurisdictions where the PayShepherd Platform may lawfully be used. Except as restricted by applicable law, you hereby consent to the exclusive jurisdiction and venue of courts in Toronto, Ontario, in all disputes arising out of or relating to the use of the PayShepherd Platform. The U.N. Convention on Contracts for the International Sale of Goods will not apply to these Terms of Use. This choice of jurisdiction does not prevent us from seeking injunctive relief with respect to a violation of intellectual property rights in any appropriate jurisdiction.

Entire Agreement and Interpretation.These Terms of Use and all documents incorporated by reference herein constitute the entire agreement between you and us pertaining to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and us with respect to the PayShepherd Platform, and any services offered by PayShepherd. A printed version of these Terms of Use and of any notice given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to these Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. The terms “include” and “including” mean, respectively, “include without limitation” and “including without limitation.” The headings of sections of these Terms of Use are for reference purposes only and have no substantive effect. The terms “consent” or “discretion”, when used in respect of us in these Terms of Use, mean our right to withhold such consent or exercise such discretion, as applicable, arbitrarily and without any implied obligation to act reasonably or explain our decision to you.

Waiver.Our failure to insist upon or enforce strict performance of any provision of these Terms of Use will not be construed as a waiver of any provision or right. A waiver of any provision of these Terms of Use must be in writing and a waiver in one instance will not preclude enforcement of such provision on other occasions.

Severability.If any of the provisions contained in these Terms of Use are determined to be void, invalid or otherwise unenforceable by a court of competent jurisdiction, such provision will be severed from these Terms of Use and all other provisions of these Terms of Use will remain in full force and effect.

Assignment.You will not assign these Terms of Use to any third party without our prior written consent. We may assign these Terms of Use or any rights under these Terms of Use to any third party without your consent. Any attempted assignment, subcontract, delegation, or transfer in violation of this Section will be null and void. These Terms of Use will inure to the benefit of and be binding upon the parties, their permitted successors and permitted assignees.

EN CLIQUANT SUR LE BOUTON « ACCEPTER » OU « OUI » EN RÉPONSE À LA DEMANDE D’ACCEPTATION DES PRÉSENTES CONDITIONS D’UTILISATION (LES « CONDITIONS D’UTILISATION »), OU EN VOUS CONNECTANT ET EN ACCÉDANT À LA PLATEFORME PAYSHEPHERD, VOUS :

DÉCLAREZ ET GARANTISSEZ QUE :

VOUS AVEZ LA CAPACITÉ DE VOUS LIER À DES OBLIGATIONS CONTRACTUELLES ; ET

SI VOUS UTILISEZ LA PLATEFORME PAYSHEPHERD (OU TOUTE PARTIE DE CELLE-CI) AU NOM D’UNE AUTRE PERSONNE, VOUS AVEZ L’AUTORITÉ D’ENGAGER ET LIER CETTE PERSONNE AUX PRÉSENTES CONDITIONS D’UTILISATION ;

ACCEPTEZ D’ÊTRE LIÉ ET DE VOUS CONFORMER À CES CONDITIONS D’UTILISATION TELS QU’ELLES PEUVENT ÊTRE MISES À JOUR DE TEMPS À AUTRE CONFORMÉMENT À L’ARTICLE 1.

SI VOUS N’ACCEPTEZ PAS CES CONDITIONS D’UTILISATION, VOUS NE DEVEZ PAS ACCÉDER À LA PLATEFORME PAYSHEPHERD NI L’UTILISER.

Les Conditions d’utilisation constituent une entente en bonne et due forme conclue entre Project Recapture Inc. d.b.a. PayShepherd (« PayShepherd », « nous », « notre » et « nos ») et vous. Les Conditions d’utilisation régissent votre accès et votre utilisation (a) de la plateforme PayShepherd de gestion des entrepreneurs et sous-traitants basée sur le cloud, conçue pour rationaliser et optimiser la relation entre les installations industrielles et les entrepreneurs et sous-traitants; offrant une gamme de fonctionnalités conçues pour améliorer l’efficacité, réduire les coûts et accroître la transparence des opérations des entrepreneurs et sous-traitants, notamment
grâce à l’automatisation des feuilles de temps et des factures; et (b) de tout texte, donnée, information, rapport, document et autre matériel ou contenu figurant sur la plateforme PayShepherd pour les entrepreneurs ou fourni par l’intermédiaire de celle-ci (collectivement, la « Plateforme PayShepherd »). Les termes « vous » et « Utilisateur » désignent la personne physique ou l’entité qui navigue sur, installe, télécharge, accède ou utilise de toute autre manière la Plateforme PayShepherd (dans ces Conditions d’utilisation, le verbe « utiliser » sous toutes ses formes désigne l’une ou l’autre des actions susmentionnées).

Vous comprenez que votre droit d’utiliser la Plateforme PayShepherd vous est accordé parce que vous êtes un entrepreneur sous-traitant actuel ou potentiel d’un maître d’ouvrage d’un projet de construction, d’un entrepreneur général ou d’un autre sous-traitant (dans chaque cas, le « Client ») pour lequel vous ou vos employés fournissez ou fournirez des travaux et des services dans le cadre des activités industrielles ou commerciales du Client, et que ce Client a conclu une entente avec PayShepherd (le « Contrat SaaS ») afin d’accéder à la Plateforme PayShepherd et de la mettre à votre disposition.

Dans la mesure où elles ne contredisent pas les présentes Conditions d’utilisation, votre utilisation de la Plateforme PayShepherd est également soumise à toute condition supplémentaire applicable conclue avec le Client (les « Conditions du Client ») et les présentes Conditions d’utilisation ne modifient en rien les termes ou conditions des ententes que vous pouvez avoir avec le Client en ce qui concerne votre travail et vos services au Client, y compris les Conditions du Client.

1. MODIFICATIONS DES CONDITIONS D’UTILISATION; FRAIS.

Sous réserve de la loi applicable, nous nous réservons le droit, à notre seule discrétion, de modifier à tout moment toute modalité des Conditions d’utilisation. Lorsque nous modifierons ces Conditions d’utilisation, nous : (i) afficherons un avis sur la Plateforme PayShepherd et pourrons vous envoyer un courriel ou vous le notifier par tout autre moyen requis par la loi applicable; (ii) publierons la nouvelle version de ces Conditions d’essai sur la Plateforme PayShepherd; et (iii) mettrons à jour la date de la «Dernière mise à jour» en haut des Conditions d’utilisation. Nous pourrions exiger que vous consentiez aux Conditions d’utilisation mises à jour d’une manière spécifique avant de permettre toute utilisation supplémentaire de la Plateforme PayShepherd. Si vous n’acceptez pas les modifications après avoir reçu un avis de modification, vous devez cesser d’utiliser la Plateforme PayShepherd. Dans le cas contraire, votre accès continu ou l’utilisation de la Plateforme PayShepherd après toute modification de ces Conditions d’utilisation indique votre acceptation de ces modifications.

Le Client sera responsable du paiement des frais applicables à PayShepherd. Vous reconnaissez et acceptez que cet accord tarifaire est conclu en contrepartie des
engagements mutuels énoncés dans les Conditions d’utilisation, et, dans le cas du Client, dans le Contrat SaaS.

Veuillez ne pas contacter PayShepherd si vous avez des questions sur ou en rapport avec le travail et les services fournis au Client, y compris toute question concernant la facturation ou le paiement de tout frais en rapport avec la fourniture de ce travail et de ces services ; et veuillez adresser toutes ces questions à votre contact habituel chez le Client.

3. ACCÈS À LA PLATEFORME PAYSHEPHERD

Accès et utilisation autorisée.Sous réserve de votre acceptation des présentes Conditions d’utilisation, PayShepherd vous accorde un droit et une licence limités,
révocables, non exclusifs, non transférables et ne pouvant donner lieu à l’octroi d’une sous-licence (le cas échéant) pour accéder à la Plateforme PayShepherd et l’utiliser à des fins commerciales internes et pour gérer la relation avec votre/vos Client(s) ainsi que la facturation et les paiements associés, sous réserve de toutes les conditions et limitations énoncées dans le présent document.

Conditions d’accès et d’utilisation.Pour accéder et utiliser la Plateforme PayShepherd, vous devez créer un compte utilisateur (le «Compte»). Pour ce faire, vous devez être âgé de 18 ans ou plus, vous devez avoir une adresse postale valide aux États-Unis ou au Canada, et vous devez fournir à PayShepherd toutes les informations requises pour la création du Compte, y compris toutes les informations qui peuvent être requises par ou ses fournisseurs de services tiers pour mener à bien les procédures de vérification d’identité. Il est une condition de votre accès et de votre utilisation de la Plateforme PayShepherd que toutes les informations que vous fournissez soient correctes, à jour et complètes et vous vous engagez à mettre à jour rapidement toutes les informations de votre Compte pour garantir que votre Compte soit correct, à jour et complet en tout temps.

Confidentialité du Compte.Vous comprenez et acceptez que votre Compte est personnel et vous vous engagez à ne permettre à aucune autre personne d’accéder à la Plateforme PayShepherd ou à une partie de celle-ci en utilisant votre nom d’utilisateur, mot de passe ou toute autre information de sécurité. Vous acceptez de nous informer immédiatement de tout accès ou utilisation non autorisé de votre nom d’utilisateur ou votre mot de passe ou de toute autre atteinte à la sécurité de votre Compte. Vous êtes responsable de toute utilisation abusive de votre mot de passe ou de tout accès non autorisé. Nous nous réservons le droit, à tout moment et à notre discrétion, de désactiver ou de supprimer votre Compte, tout nom d’utilisateur, mot de passe ou autre identifiant, qu’il ait été choisi par vous ou fourni par nous, y compris en cas de manquement à l’une des dispositions des Conditions d’utilisation.

Suspension de l’accès ; panne planifiée ; modifications.PayShepherd peut, de temps à autre et à sa discrétion, sans limiter ses autres droits ou recours, en vertu des Conditions d’utilisation :

suspendre votre accès ou votre utilisation de la Plateforme PayShepherd ou tout
composant de celle-ci:

lors d’une maintenance planifiée ;

en cas de force majeure ;

si PayShepherd estime de bonne foi que vous avez enfreint l’une des dispositions des présentes Conditions d’utilisation ;

pour répondre à tout problème de sécurité urgent ;

si une autorité gouvernementale ou réglementaire l’exige ou à la suite d’une modification des lois applicables ; ou

pour toute autre raison prévue dans ces Conditions d’utilisation ; et

apporter des modifications, des améliorations, des développements personnalisés, des correctifs, des corrections de bogues, des mises à jour, des améliorations, des agrégations, des compilations, des œuvres dérivées, des traductions et des adaptations («Modifications» ou «Modifier») à la Plateforme PayShepherd:
Vous êtes tenu d’accepter tous les correctifs, corrections de bogues et mises à jour effectués par ou au nom de PayShepherd sur la Plateforme PayShepherd, le cas échéant.

Sous-contractants.PayShepherd peut engager des tiers pour l’aider à fournir la Plateforme PayShepherd ou une partie de celle-ci.

4. UTILISATIONS INTERDITES

Vous acceptez que votre accès et utilisation de la Plateforme PayShepherd ne doivent pas :

impliquer directement ou indirectement : (i) tenter de contourner, enfreindre ou violer, ou contourner, enfreindre ou violer toute mesure de sécurité ou d’authentification, (ii) restreindre, perturber ou désactiver les services aux utilisateurs, hôtes, serveurs ou réseaux, (iii) reproduire illicitement les en-têtes des paquets TCP/IP, (iv) perturber les services réseau et, d’une manière générale, interférer avec notre capacité à surveiller la Plateforme PayShepherd (v) utiliser un robot, un araignée, un gratteur ou tout autre processus ou moyen automatisé ou manuel pour accéder à la Plateforme PayShepherd à toute fin, y compris aux fins de surveillance ou de copie de tout contenu et information disponible via la Plateforme PayShepherd ou pour le développement et l’entraînement de modèles, (vi) violer les restrictions figurant dans les en-têtes d’exclusion de robots de la Plateforme PayShepherd ou contourner d’autres mesures mises en place pour empêcher
ou limiter l’accès à la Plateforme PayShepherd, (vii) introduire des virus, des chevaux de Troie, des vers, des bombes logiques ou d’autres éléments logiciels malveillants ou technologiquement nuisibles, (viii) attaquer la Plateforme PayShepherd par le biais d’une attaque par déni de service, d’une attaque par déni de service distribué, d’une inondation, d’une bombarderie ou d’un plantage, (ix) prendre des mesures qui imposent ou peuvent imposer, à notre discrétion, une charge déraisonnable ou disproportionnée sur la Plateforme PayShepherd, ou (x) tenter de toute autre manière d’interférer avec le bon fonctionnement de la Plateforme PayShepherd ;

enfreindre ou encourager l’enfreinte de toute loi ou réglementation fédérale, provinciale, locale ou internationale applicable, notamment toute loi relative à l’exportation de données ou de logiciels, de brevets, de marques de commerce, de secrets commerciaux, de droits d’auteur ou d’autres droits de propriété intellectuelle, de droits prévus par la loi (y compris les droits de publicité et de protection de la vie privée d’autrui) ou de transmettre des documents qui pourraient donner lieu à une responsabilité civile ou pénale en vertu des lois ou des règlements applicables ou qui pourraient par ailleurs entrer en conflit avec les Conditions d’utilisation ou la Politique de confidentialité (telle que définie ci-dessous) ;

impliquer la transmission de toute Donnée utilisateur (telle que définie ci-dessous), autre données ou contenu faux, inexact, trompeur, exploiteur, obscène, nuisible, menaçant, abusif, harcelant, haineux, diffamatoire, sexuellement explicite ou pornographique, violent, incendiaire ou discriminatoire sur la base de l’ethnie, du sexe, de la religion, de la nationalité, du handicap, de l’orientation sexuelle, de l’âge ou d’autres motifs interdits par la loi, ou autrement répréhensible, comme nous pouvons en juger de manière discrétionnaire ;

impliquer la récolte ou la collecte ou le stockage des renseignements (y compris des renseignements personnels) au sujet d’autres utilisateurs de la Plateforme PayShepherd, y compris les adresses électroniques, sans le consentement exprès de ces utilisateurs ;

créer des adaptations, des traductions ou des œuvres dérivées basées sur la Plateforme PayShepherd, en tout ou en partie, décompiler, désassembler, faire de l’ingénierie inverse, reconstruire ou autrement copier, reproduire ou s’enquérir de la structure et les composants de la Plateforme PayShepherd ;

modifier toute partie de la Plateforme PayShepherd ;

fournir, divulguer en détail ou rendre la Plateforme PayShepherd accessible à des tiers par quelque moyen que ce soit sans le consentement écrit préalable de PayShepherd ; et

utiliser la Plateforme PayShepherd (sauf pour les fonctionnalités accessibles au public) en présence d’entreprises concurrentes de PayShepherd.

Vous vous conformerez à toutes les lois et réglementations relatives aux exportations applicables qui peuvent s’appliquer à l’accès ou à l’utilisation de la Plateforme
PayShepherd. PayShepherd ne fait aucune déclaration ni garantie quant à la possibilité d’exporter la Plateforme PayShepherd hors du Canada sans l’obtention préalable des licences ou permis appropriés en vertu des lois applicables, ni quant au fait que ces licences ou permis aient été, soient ou puissent être obtenus.

5. PROPRIÉTÉ ; DROITS RÉSERVÉS

Propriété de vos données. Vous conservez tous les droits de propriété et de propriété intellectuelle sur les informations, les données (à l’exclusion des Données agrégées et des Métadonnées PayShepherd), contenus, enregistrements et fichiers que vous téléchargez, envoyez, transmettez ou entrez dans la Plateforme PayShepherd par le biais de votre Compte, y compris vos renseignements personnels (collectivement, les «Données utilisateur»). Dans la mesure où vous n’avez pas accordé ces droits nécessaires au Client ou que la Client ne nous les a pas accordés dans le Contrat SaaS, vous accordez par la présente à PayShepherd un droit et une licence non exclusive, mondiale, libre de redevances, irrévocable, perpétuelle, pouvant faire l’objet d’une sous-licence, transférable et intégralement acquittée, lui permettant d’accéder à vos Données utilisateur, de les collecter, les utiliser, traiter, stocker, divulguer et transmettre afin de : (i) fournir la Plateforme PayShepherd ; (ii) améliorer la Plateforme PayShepherd et les autres offres de produits ou de services de PayShepherd ; (iii) produire ou générer des Métadonnées
PayShepherd ; et (iv) produire ou générer des données, du matériel ou des informations, y compris sur la manière dont vous interagissez avec la Plateforme PayShepherd, incluant notamment la fréquence et la durée d’utilisation, les fonctionnalités spécifiques consultées, vos préférences d’utilisateur et vos schémas de comportement, et qui : (A) sont anonymisées ; (B) ne peuvent pas être réidentifiées par PayShepherd ; et (C) ne contiennent aucun de vos renseignements personnels ni d’informations permettant d’identifier vos clients ou de votre/vos Client(s) (ces données, informations et contenus étant désignés comme les «Données agrégées»). PayShepherd peut utiliser, stocker, divulguer, transférer, transmettre, copier, modifier, afficher et traiter de toute autre manière les Données agrégées et les Métadonnées PayShepherd à toutes fins utiles et sans restriction ni obligation envers vous. «Métadonnées PayShepherd» désigne toutes les
métadonnées générées par ou résultant du traitement de vos Données utilisateur et issues du fonctionnement normal de la Plateforme PayShepherd.

Propriété de PayShepherd. La Plateforme PayShepherd, les Données agrégées, les Métadonnées PayShepherd y compris toutes les modifications et les travaux dérivés de ce qui précède, sont qui y sont apportées, sont la propriété exclusive de PayShepherd, de nos concédants et sont protégés sous toutes leurs formes par les lois sur la propriété intellectuelle, y compris les droits d’auteur, les marques, les brevets, les secrets commerciaux et tout autre droit de propriété. Le nom PayShepherd, ainsi que tous les noms, logos, noms de produits et de services, dessins, images et slogans qui y sont associés sont nos marques ou celles de nos affiliés ou concédants de licence. Vous ne devez pas utiliser ces marques sans notre autorisation écrite préalable. Les autres noms, logos, noms de produits et de services, dessins, images et slogans mentionnés ou affichés sur la Plateforme PayShepherd sont les marques de leurs propriétaires respectifs. Toute utilisation non autorisée de ces éléments constituera une infraction ou une violation des droits du propriétaire concerné, ce qui pourrait entraîner une violation des lois fédérales
ou autre et exposer le contrefacteur à des poursuites judiciaires. Tous les droits qui ne vous sont pas expressément accordés par PayShepherd en vertu des Conditions d’utilisation sont réservés.

Commentaires. Dans la mesure où vous soumettez à PayShepherd des idées, des suggestions, des documents ou des propositions concernant la Plateforme PayShepherd (les «Commentaires»), vous reconnaissez et acceptez que :

ces Commentaires ne contiennent aucune information confidentielle ou exclusive, et que PayShepherd n’est soumis à aucune obligation de confidentialité à l’égard de ces Commentaires ; et

PayShepherd aura le droit d’utiliser, de commercialiser ou de divulguer (ou de choisir de ne pas utiliser, commercialiser ou divulguer) ces Commentaires, à toute fin, de quelque manière que ce soit et à toute personne, dans le monde entier, sans qu’aucune compensation ou remboursement de quelque nature que ce soit ne vous soit due.

6. VOTRE RESPONSABILITÉ ; VIE PRIVÉE ET COMMUNICATIONS ÉLECTRONIQUES

Votre responsabilité. Entre vous et PayShepherd, vous êtes seul responsable de :

la légalité, la qualité, de l’exactitude et de l’exhaustivité des Données utilisateur et des risques liés à la transmission de toute Donnée utilisateur par Internet. PayShepherd ne saurait être tenue responsable de la corruption, des dommages, de la perte ou de la mauvaise transmission des Données utilisateur, y compris de vos renseignements personnels utilisés ou transférés par vous lors de l’utilisation de la Plateforme PayShepherd ni de la sécurité des données transmises par Internet; et

valider et examiner de manière indépendante les résultats et les extrants de la Plate-forme PayShepherd et vérifier que ces résultats et extrants sont exacts et complets.

Politique de confidentialité. Vous comprenez que vos renseignements personnels seront collectés, utilisés, divulgués ou traités de toute autre manière conformément à notre politique de confidentialité, qui se trouve à l’adressehttps://www.payshepherd.com/privacy-policy(la « Politique de confidentialité »).

Communications électroniques. En créant un Compte pour accéder à la Plateforme PayShepherd, vous comprenez que PayShepherd vous enverra des courriels relatifs à votre Compte et à votre utilisation de la Plateforme PayShepherd, y compris des mises à jour de service. En outre, lorsque vous utilisez ou consultez la Plateforme PayShepherd ou que vous nous envoyez des courriels, des textes ou d’autres messages électroniques, vous communiquez avec nous par voie électronique et vous acceptez de recevoir des communications de notre part par voie électronique. Nous pouvons communiquer avec vous par courriel, téléphone, notification push ou en publiant des avis sur la Plateforme PayShepherd. Vous acceptez que tous les accords, avis, divulgations et autres communications que nous vous fournissons par voie électronique satisfont à toute exigence légale selon laquelle ces communications doivent être faites par écrit.

7. TECHNOLOGIES SOUS LICENCE ET SITES WEB DES TIERS

Produits de tiers. Votre utilisation de la Plateforme PayShepherd ou de certaines de ses fonctionnalités peut inclure ou nécessiter l’utilisation de technologies tierces sous licence, régies par des conditions de licence distinctes, qui ne relèvent pas de ces Conditions d’utilisation («Technologie tierce sous licence»), ainsi que d’autres produits tiers (collectivement, les «Produits tiers»). Dans ce cas, vous acceptez de respecter les conditions de licence applicables à ces technologies tierces sous licence. Si vous n’acceptez pas ces conditions, vous ne devez pas installer, accéder ni utiliser ces technologies tierces sous licence. Toute acquisition de Produits tiers et tout échange de données entre vous et un fournisseur de Produits tiers relèvent uniquement de votre responsabilité et de celle du fournisseur concerné. PayShepherd ne garantit ni ne soutient les Produits tiers, même s’ils sont désignés comme « certifiés » ou recommandés d’une autre manière. PayShepherd ne peut garantir la disponibilité continue des fonctions des Produits tiers et peut cesser de les fournir sans que vous ayez droit à un remboursement, un crédit ou toute autre compensation, par exemple si le fournisseur d’un Produit tiers cesse de rendre ses Produits tiers disponibles pour l’interopérabilité ou pour toute autre fonction de service de manière acceptable pour PayShepherd. PayShepherd n’est pas responsable de la divulgation, de la modification ou de la suppression des Données utilisateur résultant de l’accès aux Données utilisateur par ces Produits tiers ou leurs fournisseurs.

Sites Web de tiers. La Plateforme PayShepherd peut également fournir des liens ou des pointeurs vers des sites tiers. Nous ne faisons aucune déclaration concernant les autres sites Web accessibles à partir de la Plateforme PayShepherd. Si vous choisissez d’accéder à ces sites, vous le faites à vos propres risques. PayShepherd n’a aucun contrôle sur le contenu de ces sites et, dans la mesure où la législation applicable le permet, PayShepherd décline toute responsabilité concernant ces sites ou toute perte ou tout dommage pouvant résulter de leur utilisation. Vous êtes soumis aux conditions générales de ces sites tiers.

8. CLAUSE DE NON-RESPONSABILITÉ

PAYSHEPHERD NE GARANTIT PAS QUE LA PLATEFORME PAYSHEPHERD SERA EXEMPTE D’INTERRUPTIONS OU D’ERREURS, NI QUE TOUTES LES ERREURS PEUVENT OU SERONT CORRIGÉES, Y COMPRIS LES ERREURS LIÉES À LA NUMÉRISATION DES FEUILLES DE TEMPS OU DES FACTURES OU DE TOUT AUTRE DOCUMENT DE PAIEMENT. DE MÊME, PAYSHEPHERD NE FORMULE AUCUNE GARANTIE QUANT AUX RÉSULTATS POUVANT ÊTRE OBTENUS PAR L’UTILISATION DE LA PLATEFORME PAYSHEPHERD SAUF DISPOSITION CONTRAIRE EXPRESSÉMENT PRÉVUE DANS CETTE ENTENTE. LA PLATEFORME PAYSHEPHERD (OU TOUTE PARTIE DE CELLE-CI), ET TOUT AUTRE PRODUITS ET SERVICES FOURNIS PAR PAYSHEPHERD À VOUS, EST FOURNIE « TELLE QUELLE » ET « SELON LA DISPONIBILITÉ ». TOUTE REPRÉSENTATION OU GARANTIE DE OU CONCERNANT UNE TECHNOLOGIE SOUS LICENCE D’UN TIERS EST STRICTEMENT ENTRE VOUS ET LE TIERS. DANS LA MESURE PERMISE PAR LES LOIS APPLICABLES, PAYSHEPHERD DÉCLINE PAR LES PRÉSENTES TOUTES LES GARANTIES, DÉCLARATIONS ET CONDITIONS EXPRESSES, IMPLICITES, ACCESSOIRES OU PRÉVUES PAR LA LOI, QUE ÇA SOIT ÉCRIT OU ORAL, Y COMPRIS TOUTES LES GARANTIES OU CONDITIONS IMPLICITES DE QUALITÉ MARCHANDE, DE COMPATIBILITÉ, DE TITRE, D’ABSENCE DE CONTREFAÇON, DE SÉCURITÉ, DE FIABILITÉ, DE L’EXHAUSTIVITÉ, DE JOUISSANCE PAISIBLE, DE L’EXACTITUDE, DE QUALITÉ, DE L’INTÉGRATION OU DE L’UTILISATION DE LA TECHNOLOGIE OU D’ADÉQUATION À UNE FIN OU À UNE UTILISATION PARTICULIÈRE, OU TOUTES LES GARANTIES OU CONDITIONS RÉSULTANT OU S’INFÉRANT DES NÉGOCIATIONS, DE L’UTILISATION OU DES PRATIQUES COMMERCIALES. SANS QUE SOIT LIMITÉE LA PORTÉE DE CE QUI PRÉCÈDE, PAYSHEPHERD DÉCLINE EXPRESSÉMENT TOUTE GARANTIE, CONDITION OU DÉCLARATION SELON LESQUELLES LES DONNÉES OU INFORMATIONS FOURNIES DANS LE CADRE DE VOTRE UTILISATION DE LA PLATEFORME PAYSHEPHERD SONT EXACTES OU PEUVENT OU DOIVENT ÊTRE UTILISÉES À QUELQUE FIN QUE CE SOIT. EN OUTRE, ET SANS LIMITER LA PORTÉE DE CE QUI PRÉCÈDE, VOUS COMPRENEZ QUE LA NATURE DE LA PLATEFORME PAYSHEPHERD N’EST PAS DESTINÉE À ÊTRE UTILISÉE, ET NE PEUT L’ÊTRE, SANS UNE VÉRIFICATION INDÉPENDANTE. PAR CONSÉQUENT, PAR LA PRÉSENTE, VOUS ACCEPTEZ DE VALIDER DE MANIÈRE INDÉPENDANTE LES RÉSULTATS DE LA PLATEFORME PAYSHEPHERD AVANT DE VOUS FIER À CES RÉSULTATS.

PAYSHEPHERD N’EST PARTIE À AUCUN DES ACCORDS QUE VOUS POUVEZ AVOIR AVEC LE CLIENT, Y COMPRIS LES CONDITIONS GÉNÉRALES DU CLIENT. PAYSHEPHERD NE SERA PAS RESPONSABLE DES ERREURS OU OMISSIONS DANS LES OBLIGATIONS DE PAIEMENT OU AUTRES OBLIGATIONS DUES PAR LE CLIENT À VOTRE ÉGARD.

9. LIMITATION DE LA RESPONSABILITÉ

DANS TOUTE LA MESURE DU POSSIBLE PERMISE SOUS LA LÉGISLATION APPLICABLE, NOUS, NOS SOCIÉTÉS AFFILIÉES, AINSI QUE NOS ADMINISTRATEURS, DIRIGEANTS, ACTIONNAIRES, EMPLOYÉS, SOUS-TRAITANTS, AGENTS, CONCÉDANTS, TITULAIRES DE LICENCE ET FOURNISSEURS DE SERVICES RESPECTIFS, AINSI QUE LEURS SUCCESSEURS ET AYANTS DROIT (COLLECTIVEMENT AVEC PAYSHEPHERD, LES «PARTIES PAYSHEPHERD»), NE SERONT EN AUCUN CAS RESPONSABLES, QUE CE SOIT SUR LA BASE D’UNE GARANTIE, D’UN CONTRAT, D’UN DÉLIT, D’UNE NÉGLIGENCE, DE LA RESPONSABILITÉ STRICTE OU DE TOUTE AUTRE THÉORIE JURIDIQUE, POUR CE QUI SUIT : (I) TOUS DOMMAGES DIRECTS, SPÉCIAUX, EXEMPLAIRES, PUNITIFS, INDIRECTS, ACCESSOIRES OU CONSÉCUTIFS ; (II) TOUTE PERTE (A) D’ÉCONOMIES, (B) DE BÉNÉFICES, (C) DE DONNÉES, (D) D’UTILISATION OU (E) DE CLIENTÈLE ; (III) TOUTE INTERRUPTION D’ACTIVITÉ ; (IV) TOUS FRAIS ENGAGÉS POUR L’OBTENTION DE SERVICES DE SUBSTITUTION ; (V) TOUTE BLESSURE CORPORELLE OU TOUT DÉCÈS ; (VI) TOUS DOMMAGES PERSONNELS OU MATÉRIELS ; OU (VII) OU TOUTE AUTRE RESPONSABILITÉ, DANS CHAQUE CAS, QUE NOUS AYONS ÉTÉ INFORMÉS OU NON, OU QUE NOUS AYONS RAISONNABLEMENT DÛ CONNAÎTRE LA POSSIBILITÉ DE TELS DOMMAGES, RÉSULTANT DE OU LIÉS À LA PLATEFORME PAYSHEPHERD, À
L’INCAPACITÉ D’UTILISER LA PLATEFORME PAYSHEPHERD OU AUX PRÉSENTES CONDITIONS D’UTILISATION.

DANS TOUTE LA MESURE PERMISE PAR LA LOI APPLICABLE, NOTRE RESPONSABILITÉ GLOBALE TOTALE DÉCOULANT DES PRÉSENTES CONDITIONS D’UTILISATION, OU LIÉE À CELLES-CI, AINSI QU’À VOTRE UTILISATION OU À VOTRE INCAPACITÉ D’UTILISER LA PLATEFORME PAYSHEPHERD, NE POURRA EN AUCUN CAS DÉPASSER LE MONTANT QUE VOUS OU LE CLIENT AVEZ PAYÉ POUR LA PLATEFORME PAYSHEPHERD, LE CAS ÉCHÉANT. IL EST ENTENDU QUE L’EXISTENCE D’UNE OU DE PLUSIEURS RÉCLAMATIONS EN VERTU DES PRÉSENTES CONDITIONS D’UTILISATION N’AUGMENTERA PAS CE MONTANT MAXIMAL DE RESPONSABILITÉ.

10. INDEMNITÉS

Vous vous engagez à défendre, indemniser et dégager de toute responsabilité les Parties PayShepherd contre toute réclamation, cause d’action, demande, perte, dommage, amende, pénalité ou tout autre coût ou dépense de quelque nature que ce soit, y compris les frais juridiques et comptables raisonnables, résultant de ou en lien avec :

votre utilisation de la Plateforme PayShepherd ou de tout service offert par PayShepherd (sauf dans la mesure interdite par la loi) ;

les Données utilisateur, y compris notre traitement des données de l’utilisateur conformément aux présentes Conditions d’utilisation

votre manquement à toute disposition des Conditions d’utilisation ou de tout document mentionné aux présentes ;

votre violation de toute loi ou des droits d’un tiers (y compris les droits de propriété intellectuelle) ;

votre relation et toutes ententes, contrats et autres accords entre vous et le(s) Client(s) ;

vos activités commerciales ; et

tout virus, cheval de Troie, ver, bombe logique, logiciel espion, logiciel malveillant, robot d’annulation ou toute autre routine de programmation nuisible ou délétère introduite par vous dans la Plateforme PayShepherd.

PayShepherd se réserve le droit, à ses propres frais, d’assumer la défense et le contrôle exclusifs de toute question faisant l’objet d’une indemnisation de votre part, auquel cas vous coopérerez pleinement avec nous pour faire valoir toute défense disponible. Vous acceptez que les dispositions de cette section survivent à toute résiliation de votre Compte, des Conditions d’utilisation ou de votre accès à la Plateforme PayShepherd.

11. DURÉE ET RÉSILIATION

Conditions générales. Les Conditions d’utilisation entrent en vigueur le jour où vous utilisez pour la première fois une partie de la Plateforme PayShepherd et demeureront en vigueur tant que vous aurez accès à la Plateforme PayShepherd, tel que déterminé par le Client conformément aux Conditions du Client ou au Contrat SaaS, sauf si cet accès est résilié plus tôt par l’une ou l’autre des parties conformément aux dispositions des Conditions d’utilisation ou si le Contrat SaaS est résilié. Nous pouvons résilier les Conditions d’utilisation à tout moment et avec effet immédiat, en vous en informant, à notre discrétion, par courrier électronique (à l’adresse courriel actuelle que vous nous avez fournie) ou par l’intermédiaire de la Plateforme PayShepherd. Vous pouvez résilier les Conditions d’utilisation à tout moment et avec effet immédiat en demandant par courriel la suppression de votre Compte, ou en supprimant votre Compte et en cessant d’utiliser la Plateforme PayShepherd. À des fins de clarté, si vous continuez à utiliser une partie de la Plateforme PayShepherd accessible au public après la résiliation des Conditions d’utilisation, ces dernières continueront de s’appliquer dans la mesure de cette utilisation.

Survie. Les sections suivantes, ainsi que toute autre disposition des présentes Conditions d’utilisation qui, expressément ou de par sa nature, survit à la résiliation ou à l’expiration, ou qui envisage l’exécution ou le respect après la résiliation ou l’expiration des Conditions d’utilisation, survivront à l’expiration ou à la résiliation des Conditions d’utilisation pour quelque raison que ce soit : Articles 4 (Utilisations interdites), 5 (Propriété ; Réservation de droits), 6 (Votre responsabilité; vie privée et communications électroniques), 8 (Limitation de Responsabilité), 10 (Indemnités), ce présent article 11 (Durée et Résiliation), et 12 (Dispositions générales).

12. DISPOSITIONS GÉNÉRALES

Droit applicable. Ces Conditions d’utilisation sont régies par les lois de la province de Ontario et les lois fédérales du Canada qui s’y appliquent, sans donner effet à aucun principe de conflit de lois, et ces lois s’appliquent à votre accès à la Plateforme PayShepherd ou à son utilisation, nonobstant votre domicile, votre lieu de résidence ou votre emplacement physique. Vous n’utiliserez la Plateforme PayShepherd que dans les juridictions où la Plateforme PayShepherd peut être légalement utilisée. Sous réserve des restrictions imposées par les lois applicables, vous acceptez par les présentes la compétence exclusive des tribunaux de Toronto, en Ontario, pour tous les litiges découlant de l’utilisation de la Plateforme PayShepherd ou s’y rapportant. La Convention des Nations Unies sur les contrats de vente internationale de marchandises ne s’applique pas aux présentes Conditions d’utilisation. Ce choix de juridiction ne nous empêche pas de demander une injonction en cas de violation des droits de propriété intellectuelle dans toute juridiction appropriée.

Intégralité de l’entente et interprétation. Les Conditions d’utilisation et tous les documents qui y sont incorporés par référence constituent l’intégralité de l’entente entre vous et nous en ce qui concerne l’objet des présentes. Elles annulent et remplacent toutes les ententes, déclarations ou autres communications antérieures ou contemporaines entre vous et nous en ce qui concerne la Plateforme PayShepherd et tous les services offerts par PayShepherd. Une version imprimée des Conditions d’utilisation et de tout avis donné sous forme électronique sera admissible dans les procédures judiciaires ou administratives basées sur ou relatives aux Conditions d’utilisation dans la même mesure et sous réserve des mêmes conditions que d’autres documents et enregistrements commerciaux générés et conservés à l’origine sous forme imprimée. Les termes « inclure » et « y compris » signifient respectivement « inclure sans limitation » et « y compris sans limitation ». Les titres des sections des présentes Conditions d’utilisation ne servent qu’à des fins de référence et n’ont aucun effet substantiel. Lorsqu’ils sont utilisés à notre
égard dans les présentes Conditions d’utilisation, les termes « consentement » ou « discrétion » indiquent que nous avons le droit de refuser un tel consentement ou d’exercer un tel pouvoir discrétionnaire, selon le cas, de manière arbitraire et sans aucune obligation implicite d’agir raisonnablement ou de vous expliquer notre décision.

Renonciation. Le fait que nous n’insistions pas sur l’application stricte d’une disposition des Conditions d’utilisation ou que nous ne l’appliquions pas ne sera pas interprété comme une renonciation à une disposition ou à un droit. La renonciation à une disposition des présentes Conditions d’utilisation doit se faire par écrit, et une renonciation dans un cas donné n’empêchera pas l’application de cette disposition à d’autres occasions.

Divisibilité. Si l’une des dispositions contenues dans les Conditions d’utilisation est jugée nulle, invalide ou inopposable par un tribunal compétent, cette disposition sera dissociée des Conditions d’’utilisation et toutes les autres dispositions des Conditions d’utilisation continueront de produire leurs pleins effets.

Cession. Vous ne céderez ni ne transférerez aucun de vos droits ni ne déléguerez aucune de vos obligations en vertu des présentes, dans chaque cas, que ce soit volontairement, involontairement, par application de la loi ou autrement, sans le consentement écrit préalable de PayShepherd. PayShepherd peut céder ses droits ou déléguer l’une de ses obligations en vertu des présentes, sans votre consentement. Toute tentative de cession, de sous-traitance, de délégation ou de transfert en contravention du présent article sera nulle et non avenue. Les Conditions d’essai s’appliqueront au bénéfice des parties, de leurs successeurs et cessionnaires autorisés et les lieront.
